This agreement
These terms govern use of the WorkReady platform provided by Fundisa Productions Ltd ("Fundisa", "we"). They apply to the organisation that subscribes ("you") and to every person who signs in under that subscription. Where we have signed a separate order form or master services agreement with you, that document takes precedence over anything inconsistent here.
Subscriptions and licences
- Access is provided on a subscription basis for the term and fees set out in your order form.
- Your subscription includes a defined number of learner accounts and a defined number of organisation manager licences. The platform enforces these limits, counting pending invitations as allocated.
- Additional accounts or manager licences can be added at any time and are charged pro rata.
- Accounts are named and personal to one individual. Sharing credentials is not permitted and undermines the validity of your compliance records.
- Fees are exclusive of VAT and payable to the schedule in your order form.
Acceptable use
- Use the platform lawfully, and only for workforce training, site induction and the compliance reporting that follows from it.
- Do not attempt to access another organisation's data, probe or bypass access controls, or run automated scanning without our written consent.
- Do not upload malicious code, unlawful material, or content you do not have the right to distribute.
- Do not resell, sublicense or provide platform access to third parties outside your organisation without our agreement.
- Do not complete training on another person's behalf. Doing so invalidates the record and may amount to falsifying safety documentation.
Your responsibilities as an administrator
- Keeping your people list, departments and manager appointments accurate, and removing leavers promptly.
- Deciding what training is assigned, and setting review cycles appropriate to your regulatory obligations.
- Ensuring you have a lawful basis to upload your staff's details, and informing them how their training data is used.
- Reviewing completion evidence before relying on it for audit or client assurance purposes.
Content and intellectual property
- Fundisa content is licensed, not sold. Courses, site walkthroughs, assessments, media and templates supplied by Fundisa remain our intellectual property. You receive a non-exclusive, non-transferable right to use them inside the platform for the term of your subscription.
- You may not copy, download, extract, re-host, re-record, translate, resell or create derivative courses from Fundisa content, and the platform is built to prevent it — shared courses are read-only, with no copy, edit or export path.
- Your content stays yours. Courses, site videos and materials you create from scratch remain your intellectual property. You grant us only the licence needed to host, stream and back them up so the service works.
- Compliance records, reports and certificates generated from your people's activity belong to you and can be exported at any time.
Availability and support
- We target 99.5% monthly availability, excluding planned maintenance notified in advance and events outside our reasonable control.
- Planned maintenance is scheduled outside UK working hours wherever possible.
- Support is provided by email during UK business hours, with priority handling for issues that block sign-in, assignment or reporting.
- We continue to improve the platform; we will not remove a material feature you rely on without reasonable notice.
Data protection
You are the controller of your people's training data and we act as your processor. Our processing terms, sub-processor list and security controls are set out in our privacy policy and security page, and are incorporated into these terms. A signed data processing agreement is available on request.
Liability
WorkReady records and evidences training. It does not replace your own legal, health and safety or regulatory judgement, and you remain responsible for deciding what training your workforce requires.
- Neither party excludes liability for death or personal injury caused by negligence, fraud, or anything else that cannot lawfully be excluded.
- Subject to that, neither party is liable for indirect or consequential loss, loss of profit, or loss of anticipated savings.
- Subject to that, each party's total liability in any twelve-month period is limited to the fees paid or payable by you in that period.
Suspension and termination
- Either party may terminate at the end of the subscription term by giving notice as set out in the order form.
- Either party may terminate immediately for material breach that is not remedied within 30 days of written notice.
- We may suspend access without notice where there is a serious security risk, unlawful use, or non-payment that remains outstanding after reminder.
- On termination you can request a final export of your data; we then delete or irreversibly anonymise it within 90 days.
General
- We may update these terms; material changes are notified to organisation administrators before they take effect.
- Neither party may assign this agreement without the other's consent, except to a group company or on a sale of the business.
- These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
